These Terms of Service ("Terms") are an agreement between Centangle Global LLC, a Wyoming limited liability company with its office at 30 N Gould St, Ste R, Sheridan, WY 82801, United States ("Centangle Global LLC", "we", "us" or "our"), and the company or organisation that signs up for ForceVera ("Customer" or "you"). They govern use of the ForceVera website, web application and mobile apps (the "Services"). By creating an account, starting a trial or using the Services, you agree to these Terms. If you accept them for a company, you confirm you have authority to bind it.
1. Accounts and users
You must give accurate information when you sign up and keep it up to date. You are responsible for your account, for everyone you invite (admins, dispatchers, supervisors, guards and client users), and for keeping sign-in details secure. Tell us promptly at the email below if you suspect unauthorised access. The Services are for business use by organisations and their authorised users aged 18 or over.
2. Free trial
Some plans start with a free trial for the period shown at sign-up. If your plan asks for a payment method at the start of the trial, your subscription begins and you are charged automatically when the trial ends unless you cancel before then. If no payment method is taken, your workspace becomes read-only at the end of the trial until you choose a paid plan. We may change or end trial offers at any time; changes do not affect a trial already started.
3. Subscriptions and billing
- Plans and prices are shown on our pricing page and at checkout. Prices are in US dollars and exclude taxes, which are added where required.
- Billing is in advance, monthly or yearly as you choose, through our payment processor, Stripe. Subscriptions renew automatically for the same period until cancelled.
- Usage limits (such as guards included, SMS credits and storage) apply as described for your plan. If you need more, you can buy add-ons or move to a higher plan; some plans charge per guard above the included number or per extra SMS credit, as stated on the pricing page.
- Plan changes take effect immediately and are prorated.
- Price changes: we will give at least 30 days' notice before a price increase applies to your subscription; it takes effect at your next renewal.
- Failed payments: if a payment fails, we will retry and notify you. If it still cannot be collected, we may restrict the account to read-only until payment is made.
- Setup fees, where a plan has one, are charged once and are non-refundable once onboarding has started.
4. Cancellation and refunds
You can cancel at any time from your subscription page. Cancellation stops future renewals; you keep access until the end of the period already paid for, after which the workspace becomes read-only. Fees already paid are non-refundable except where required by law or where we say otherwise in writing. If we end the Services for convenience (not for your breach), we will refund the unused part of any prepaid fees.
5. Acceptable use
You and your users must not:
- break any law, including employment, privacy, consumer-protection, anti-spam and telecommunications laws;
- track people's location without the notice and consent the law requires, or outside working time;
- upload content that is unlawful, infringing, defamatory or harmful, or malware;
- send unsolicited or unlawful SMS or email through the Services;
- try to access other customers' data, probe or break our security, or overload the Services;
- copy, resell, reverse engineer or build a competing product from the Services, except where the law allows it;
- use the Services for any high-risk purpose where failure could lead to death or serious injury (ForceVera is not an emergency-response or life-safety system; always call emergency services in an emergency).
6. Your data
You own the data you and your users put into the Services ("Customer Data"). You give us permission to host, process and display Customer Data only as needed to provide, secure and support the Services and as described in our Privacy Policy. We act as your processor or service provider for personal data in Customer Data, and our Data Processing Addendum forms part of these Terms and applies whenever the GDPR, the UK GDPR or similar laws apply to that data. We may use aggregated, de-identified information that does not identify you or any person to operate and improve the Services. During your subscription and for 30 days after it ends, you can export your data or ask us to; after that we may delete it.
7. Responsibilities toward your workforce
You are responsible for: having a lawful basis and giving any notices and getting any consents needed to collect and use the personal data of your guards, staff, clients and others in the Services, including location data; complying with wage, working-time and record-keeping laws (ForceVera's timesheets and reports are tools, and you remain responsible for their accuracy and use); and complying with security-industry licensing rules in your jurisdiction.
8. Third-party services
The Services work with third-party services such as Stripe, Twilio, mapping providers, app stores and email providers, and may let you connect your own accounts (for example your own SMTP or Twilio account). Your use of those services is governed by their terms, and we are not responsible for them.
9. Our intellectual property
Centangle Global LLC owns ForceVera, including its software, design, logos and content. We grant you, during your subscription, a non-exclusive, non-transferable right for your authorised users to use the Services for your internal business purposes under these Terms. If you send us feedback, we may use it without obligation to you.
10. Availability and changes
We work to keep the Services available and secure, but they may be interrupted for maintenance, updates or events beyond our reasonable control. We may improve and change the Services over time; we will not materially reduce the core functionality of your paid plan during a paid period without notice.
11. Confidentiality
Each party will protect the other's non-public information that it receives with reasonable care, use it only for the purposes of these Terms, and disclose it only to people who need to know it and are bound to keep it confidential, or where the law requires.
12. Disclaimer
Except as expressly stated in these Terms, the Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be error-free or uninterrupted, or that location, timing or report data will always be complete or accurate (for example, GPS accuracy depends on the device and environment).
13. Limitation of liability
To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of the possibility; and (b) each party's total liability arising out of or relating to these Terms is limited to the fees you paid us for the Services in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, your breach of section 5, either party's indemnity obligations, or liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify Centangle Global LLC against third-party claims arising from Customer Data, your or your users' use of the Services in breach of these Terms or the law, or your relationship with your workforce and clients. We will defend and indemnify you against third-party claims that the Services, as provided by us, infringe that party's intellectual property rights.
15. Suspension and termination
We may suspend or end access if you materially breach these Terms (including non-payment) and do not fix the breach within 10 days of notice, or immediately where needed to prevent harm, abuse or a security risk, or where the law requires. Sections that by their nature should survive (including payment, data, confidentiality, disclaimer, liability and governing law) survive termination.
16. Governing law and disputes
These Terms, and any dispute or claim arising out of or relating to them or the Services, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Each party submits to the exclusive jurisdiction of the state and federal courts located in Wyoming, except that either party may seek urgent injunctive relief in any court of competent jurisdiction.
Before starting proceedings, the parties will first try in good faith to resolve the dispute: the party raising it will send a written notice describing it, and the parties will negotiate for at least 30 days. Nothing in these Terms limits rights that cannot be limited by contract under the mandatory laws of the country where you are established, including rights of data subjects under the GDPR and the UK GDPR.
17. General
We may update these Terms. We will post the new version here with a new "Last updated" date and give account owners at least 30 days' notice of material changes; continuing to use the Services after they take effect means you accept them. These Terms, together with your order details and any data processing terms, are the whole agreement between us about the Services. If any part is unenforceable, the rest remains in effect. Failing to enforce a right is not a waiver. Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of its business. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us go to the email below; notices to you go to the account owner's email address.
